The British neocloud has $103B in contracts but two customers account for nearly all of it — and Anthropic can walk.

Nscale files for $35B IPO with 85% of revenue tied to Microsoft and Anthropic

Nscale, the British neocloud spun out of Australian crypto miner Arkon Energy two years ago, is going public at an expected $35 billion valuation and seeking to raise $3 billion on the NYSE. The IPO filing shows $103 billion in signed contracts, but roughly 85% of that book sits with just two customers: a $43.8 billion compute supply deal with Microsoft running through 2033 and a $44.6 billion agreement with Anthropic. Revenue for the six months ended June 30 came in at $140.6 million, up from $10.4 million a year earlier, while net losses widened to $1.02 billion from $369 million.

The Anthropic contract carries a critical asterisk. The agreement is contingent on Nscale securing the financing to build out the capacity, and Anthropic retains the right to walk away or cancel if Nscale misses milestones the filing itself categorizes as "stringent." In practice, roughly $44.6 billion of the headline backlog is conditional on execution the company has not yet demonstrated at scale.

The financing piece got a boost earlier this month when Nvidia — one of Nscale's existing investors — agreed to provide $1 billion in convertible debt as part of a larger $3.1 billion financing package. Nscale was last valued at $14.6 billion in a $2 billion Series C led by Aker ASA and 8090 Industries. A $35 billion IPO valuation would more than double that mark in a matter of months.

Customer concentration is not unique to Nscale. Credit hedge fund Sona Asset Management, in a paper covered by the Financial Times, mapped how deeply AI infrastructure providers depend on a handful of buyers. Rival neocloud CoreWeave draws 67% of its revenue from Microsoft. Data center builder Applied Digital pulls 67% of its revenue from Oracle and another 30% from CoreWeave — meaning the same two counterparties effectively underwrite the business.

That interconnectedness cuts both ways for public-market investors. On the upside, the counterparties are the most creditworthy buyers in technology — Microsoft and Anthropic are not going to miss a payment in 2026. On the downside, a strategy shift at either buyer — a decision to build more capacity in-house, a renegotiation, a pause in training spend — reprices the entire equity story overnight.

The competitive set is filling out fast. Crusoe raised $3.9 billion last week at a $30.9 billion valuation. Nebius and Lambda are both scaling their own GPU fleets. CoreWeave is already public and trading on the same thesis Nscale is about to test. Every one of these companies is essentially selling the same product — Nvidia-powered training and inference capacity — to a small pool of frontier labs and hyperscalers.

Nscale operates data centers in Norway, Portugal, Texas, and West Virginia, giving it a geographic footprint that spans European hydro power and US grid access. Its board includes former Meta executives Sheryl Sandberg and Nick Clegg, along with former OpenAI executive Fidji Simo — a bench designed to signal enterprise credibility and policy reach to public investors.

The bear case is straightforward. A company with $140.6 million in H1 revenue and a $1.02 billion H1 loss is being priced at $35 billion on the strength of a contract book where the largest single line item can be canceled if the company fails to hit build-out milestones. If Anthropic walks — or renegotiates — the backlog compresses sharply and the valuation multiple compresses with it.

The bull case is that neoclouds are the mechanism by which frontier AI actually gets built, and Nscale has locked in take-or-pay commitments from two of the three counterparties that matter. Microsoft alone is worth $43.8 billion of backlog through 2033. If Nscale executes, the equity is cheap at $35 billion. The IPO is a bet on which of those two stories the public market believes on day one, and Nscale is the cleanest test yet of whether Wall Street will keep underwriting concentrated AI-infrastructure bets or start demanding customer diversification as a condition of the multiple.
