Thrive Holdings, the OpenAI-backed holding company spun out of Josh Kushner's Thrive Capital, agreed to acquire home security company ADT for $10.00 per share in cash. The deal values ADT at about $7.6 billion in equity and $15.3 billion in enterprise value, ADT said on October 29, 2026.

The price is a 45.6% premium to ADT's unaffected closing price of $6.87 on October 27, and a 52.1% premium to its 30-day volume-weighted average price ending that day. ADT's board unanimously approved the agreement. Funds managed by affiliates of Apollo Global Management are the sole source of financing, and the deal carries no financing condition.

Closing requires approval from ADT stockholders and US antitrust regulators, along with other customary conditions, and is expected in the first quarter of 2027. After that, ADT will be privately held and its shares will stop trading on the New York Stock Exchange.
