SK Hynix raises $26.5B in largest-ever foreign IPO on US markets

SK Hynix raised $26.5 billion in its US market debut on Friday, the largest-ever US initial public offering by a non-American company and a direct readout of how much Wall Street is willing to pay for exposure to AI memory. The South Korean chipmaker sold 177.9 million American depositary shares at $149 apiece, structured so US investors can buy in at roughly a tenth of the price of a full Seoul-listed share. The deal cleared Alibaba's $25 billion 2014 IPO, the prior record holder.

Demand was reportedly more than seven times the available shares. SK Hynix priced the ADRs at a 2.7% premium to its own three-day average on the Korea Stock Exchange, and the stock still opened 14% above the IPO price, with the price rising further in early Friday trading. The ADRs began trading Friday, July 10 under the temporary ticker SKHYV, with regular trading opening Monday, July 13 as SKHY.

The seven-times-oversubscribed book is unusual for a Korean issuer. Korean companies have historically traded at a discount to global peers — the so-called Korea Discount, which investors attribute to complex governance structures, low shareholder returns, regulatory uncertainty, and geopolitical risk from North Korea. SK Hynix cleared that discount on the strength of one product line: high-bandwidth memory.

HBM is the memory stack that sits alongside the compute die on modern AI accelerators, and SK Hynix is one of Nvidia's primary suppliers of it. Nvidia's demand curve, in effect, is SK Hynix's revenue curve, and US investors priced the ADRs accordingly. Every incremental AI GPU that Nvidia ships pulls HBM through SK Hynix's fabs.

The company's filing lays out where the $26.5 billion goes. Proceeds fund a new fab in South Korea being built specifically to address the worldwide memory shortage caused by AI training and inference demand, a new packaging facility in the same country, and EUV scanners — the extreme-ultraviolet lithography machines required to produce next-generation nodes. The capital plan is a pure capacity build, not a balance-sheet exercise.

That geography is now a policy problem in Washington. On Thursday, US Commerce Secretary Howard Lutnick appeared at a Micron event and reportedly said he is already in talks with Samsung and SK Hynix about building new factories on US soil. The stated aim is to prevent South Korea from continuing to dominate memory, a segment the US has largely ceded over the past two decades even as it recaptured leading-edge logic through TSMC's Arizona buildout and Intel's federal support.

Micron, the sole US-headquartered memory maker and one of SK Hynix's biggest competitors, took the cue. The company announced it will invest $250 billion in new US manufacturing, a commitment it says will create more than 90,000 jobs and keep leading-edge memory production onshore. Micron's number dwarfs the SK Hynix IPO by nearly 10x, though it plays out over a longer horizon and depends on federal support that has not been finalized.

The timing of Lutnick's ask is pointed. Korean chipmakers just pledged more than $550 billion for new manufacturing inside South Korea — a figure that reflects both SK Hynix's HBM roadmap and Samsung's parallel investment. Washington is asking those same balance sheets to underwrite a second, US-sited build.

There are reasons to be cautious about the SK Hynix debut translating into durable outperformance. HBM pricing has cycled sharply in prior memory downturns, and SK Hynix's revenue concentration through Nvidia carries the same customer-concentration risk that any single-buyer supply chain does. The 7x oversubscription reflects AI-cycle enthusiasm as much as it reflects the underlying steady-state margin profile of a memory manufacturer. If AI capex normalizes, HBM ASPs will normalize with it.

Even so, the trade the market is expressing is clear. SK Hynix cleared the Korea Discount, cleared Alibaba's decade-old record, and did it while pricing above its Seoul benchmark rather than at the usual foreign-listing haircut. For the AI memory segment specifically, the IPO establishes a US-market valuation anchor that Micron and Samsung will now trade against, and it gives Lutnick a leverage point in the fab-siting conversation: Korean memory now has a US shareholder base with a direct interest in where the next node gets built.
